LLC Registered Agent vs. Corporation Registered Agent: How Their Roles Compare

Does an LLC need a different kind of registered agent than a corporation? The names sound different, but their main job is much the same. Both receive legal documents and official notices for the business they represent.

An LLC registered agent serves a limited liability company. A corporation registered agent serves a corporation. The business structure changes, but receiving and passing along legal notices remains central to both roles. State rules set the specific requirements. This article covers their shared duties, the differences between the businesses they serve, and what to check when selecting a provider.

What Does an LLC Registered Agent Do?

An LLC registered agent acts as a contact for legal documents delivered to the company. Those documents may include a summons or complaint if someone files a lawsuit against it. The formal delivery of these papers is called “service of process.”

The agent accepts the documents and forwards them to the business. An owner can then review the notice and arrange a response. Receiving a document is only the first step; someone within the company still needs to act on it. Washington’s registered agent guidance describes this role as accepting legal documents and official notices on the business’s behalf.

For example, Compass Registered Agent lists document acceptance, scanning, and digital delivery among its services. Its website says same-day delivery is provided where possible, rather than promising it for every document.

How Does a Corporation Registered Agent Compare?

A corporation registered agent performs the same basic document-receiving role as an LLC registered agent. The appointment does not, by itself, put the agent in charge of the company.

The clearer difference lies inside the business. LLC owners are called members, and an LLC may be managed by its members or appointed managers. A corporation has shareholders and generally operates under a board of directors. State law allows variations in these arrangements.

For either structure, choose who should receive forwarded documents. A small LLC might name its owner as the contact. A corporation might direct notices to a designated officer or legal contact. Give the provider clear instructions and update them when that person changes.

Do the Same Address Rules Apply?

Check the rules in the state where the LLC registered agent or corporation registered agent will serve. An email address alone does not replace a required physical location.

Washington, for example, requires a physical in-state address for the registered agent and does not allow a PO box or private mailbox as that address. Its guidance also requires the agent’s consent to serve. Those requirements apply across the covered business entities, rather than creating separate address standards for LLCs and corporations.

Avoid assuming that an address accepted for ordinary business mail will also qualify as a registered office.

Can an Owner Serve as the Agent?

Many states allow an eligible owner to serve as the registered agent. However, the person must meet the state’s address and availability requirements.

Think about a normal working week. If the owner often visits customers or travels, who will be available to receive documents at the listed address?

Privacy also deserves attention. Washington state law states that information provided to its Secretary of State becomes public record. Using a home address for the agent’s address therefore has a practical consequence. A provider’s address may reduce that exposure, but other filings may still require personal or business details.

What Should You Check in a Service Plan?

Look beyond the price on the sign-up page. Ask how documents arrive and which services the fee covers.

Useful questions include:

  • How quickly are accepted documents forwarded?
  • How will the business be notified?
  • Are filing reminders included or optional?
  • Does the plan include report filing, or only reminders?

An alert about a deadline and a completed filing are different services. The agreement should explain which one the business is buying.

Compass Registered Agent lists compliance reminders as optional in its service description, while its advertised formation plans include annual report filing. Confirm the terms of the selected service instead of assuming every package includes the same support.

Choosing an Agent for Your Business

An LLC registered agent and a corporation registered agent share the same central task: receiving documents for the business. Focus on the provider’s availability, document delivery process, and written service terms.

Check your state’s requirements, compare what each plan includes, and ask for clear answers before signing up. Then assign someone within the business to review every notice and follow through.
